Krisen- und Risikomanagement im Mittelstand – von der gesetzlichen Pflicht zur betriebswirtschaftlichen Kür

Abstract

Die Fähigkeit in der Früherkennung von und dem Umgang mit Chancen und Gefahren (Risiken) ist für die nachhaltige Absicherung des Erfolgs und Überlebens eines Unternehmens von zentraler Bedeutung, denn jede unternehmerische Tätigkeit ist immer auch mit Unsicherheiten verbunden. Mit dem am 01.01.2021 in Kraft getretenen Unternehmensstabilisierungs- und -restrukturierungsgesetz (StaRUG) fordert der Gesetzgeber die Unternehmen auf, ihre Krisen- und Risikomanagementsysteme auszubauen. Von den gesetzlichen Anforderungen sind insbesondere mittelständische Unternehmen in den Rechtsformen der GmbH und GmbH & Co. KG betroffen. Die Anforderungen und die Möglichkeiten zur Erfüllung der Anforderungen werden mit den Insolvenzprognoseverfahren von Kreditinstituten verglichen. Als integratives und die Bedürfnisse kleiner und mittlerer Unternehmen in besonderem Maße aufgreifendes Rahmenwerk, das eine effiziente Anpassung an die neuen Anforderungen aus StaRUG ermöglicht, bietet sich der Risk-Governance-Ansatz an. Trans-Abstract: The ability to recognize opportunities and dangers (risks) at an early stage and to deal with them properly is of central importance for the sustainable safeguarding of the success and survival of a company, because every entrepreneurial activity is always associated with uncertainties. With the German Act on the Stabilization and Restructuring Framework for Businesses (StaRUG), which came into force on 01.01.2021, the legislator requires companies to expand their crisis and risk management systems. The requirements and the possibilities to fulfill them are compared with the insolvency forecasting procedures of banks. Medium-sized limited liability companies are particularly affected by the legal requirements. The risk governance approach is an integrative framework that particularly addresses the needs of small and medium-sized enterprises and enables an efficient adaptation to the new requirements of StaRUG.
