Opportunismus und begrenzte Rationalität in Verbundgruppen

Abstract

Kleine und mittlere Handelsunternehmen haben gegenüber Filialisten Wettbewerbsnachteile. Schutz und Hilfe versprechen Verbundgruppen, die schon seit Jahrzehnten existieren und auch große interne Organisationen aufgebaut haben. Der Beitrag untersucht, welche Konflikte in deren Management aufkommen und wie Ineffizienzen entgegengewirkt werden kann. Der Erkenntnisgewinn besteht in der systematischen Erfassung der Transaktionskosten. Opportunismus und begrenzte Rationalität wirken als Einflussfaktoren, z. B. beim Aufbau von Regiebetrieben. Darauf aufbauend empfiehlt der Artikel durch die Einführung einer Corporate Governance und einer eindeutigen Kompetenzverteilung eine Re-Fokussierung auf den Kern von Handelskooperationen, auf das gemeinsam verfolgte Ziel der Existenzsicherung. / Small and medium-sized retailers have competitive disadvantages against large chains. Some decades ago, those retailers founded trade cooperatives which have by now turned into huge internal organizations. As in their early years, the cooperatives promise protection and help for their members. This contribution examines which conflicts arise in their management and how inefficiencies can be countervailed. It applies a systematic transaction cost approach and identifies opportunism and bounded rationality as key influencing determinants, e. g., in the foundation of self-contained enterprises. Building on these findings, the article recommends the introduction of a corporate governance and an explicit distribution of competences to ultimately re-focus on the core of trade cooperatives, the jointly followed aim of ensuring the livelihood of the member companies.
