Die insiderrechtliche Behandlung von Zwischenschritten in gestreckten Geschehensabläufen

Abstract

Im Schrifttum existiert gegenwärtig eine umfassende Diskussion über die insiderrechtliche Behandlung von Zwischenschritten in gestreckten Geschehensabläufen. Zum Teil wird die Auffassung vertreten, dass zwischen Zwischenschritten, die eine eigenständige insiderrechtliche Relevanz aufweisen, und solchen, deren Relevanz sich ausschließlich vom Endereignis ableitet, zu differenzieren sei. Der Beitrag zeigt auf, dass die These des Differenzierungserfordernisses als systemwidrig abzulehnen ist und eine sachgerechte Lösung nicht durch eine Beschränkung des Begriffes der Insiderinformation gem. Art. 7 MAR, sondern auf der Ebene des Aufschubes der Ad-hoc-Publizitätspflicht gem. Art. 17 Abs. 4 MAR zu erfolgen hat. Ausführlich konturiert wird insbesondere das Tatbestandsmerkmal des berechtigten Emittenteninteresses, für dessen Vorliegen es eines Verfügungsrechts des Emittenten an der Information bedarf. Beispielhaft aufgezeigt wird die Handhabung im Wege des Aufschubes am Beispiel von M&A-Transaktionen sowie Sachverhalten der Non-Compliance, hinsichtlich derer insbesondere die Berücksichtigung der Aufdeckungswahrscheinlichkeit abgelehnt wird.
