Die insiderrechtlichen Regelungen des Vorschlags für eine Marktmissbrauchsrichtlinie und der Stand der Umsetzung im deutschen Wertpapierhandelsrecht

Abstract

Das Rechtsetzungsverfahren zum Erlass einer europäischen Richtlinie über Insidergeschäfte und Marktmanipulation (Marktmissbrauch) befindet sich in der Endphase. In Weiterentwicklung der geltenden Insiderrichtlinie bringt die neue Richtlinie wichtige Änderungen des europäischen Insiderrechts mit sich, beispielsweise hinsichtlich des Anwendungsbereichs der Richtlinie, der Verpflichtung zur Offenlegung von Insiderinformationen, der Meldepflicht von Geschäften bestimmter Insider, der Zuständigkeit und Befugnisse der nationalen Behörden sowie des Sanktionenregimes. In Deutschland ergeben sich durch das ebenfalls kurz vor dem Abschluss stehende Gesetzgebungsverfahren zum Erlass des Vierten Finanzmarktförderungsgesetzes Änderungen, die es mit den Regelungsinitiativen auf europarechtlicher Ebene zu koordinieren gilt. Die Verfasser erläutern die wesentlichen Neuregelungen der Marktmissbrauchsrichtlinie und erörtern den sich hieraus ergebenden Umsetzungsbedarf im deutschen Wertpapierhandelsrecht
