Comment faut-il payer les patrons ?

Les excès récemment observés dans le niveau de salaire de certains grands patrons suggèrent l'existence, au sein des entreprises, de dysfonctionnements importants dans les politiques de rémunération. Cet opuscule a un double objectif. Il analyse tout d'abord les contrats dont bénéficient les dirigeants d'entreprise et propose des changements pour que leurs rémunérations soient plus directement liées à leurs performances et à leur action. Il étudie ensuite le fonctionnement des organes de décision qui attribuent ces contrats – les conseils d'administration. Comment modifier la composition et le fonctionnement des CA pour qu'ils soient plus indépendants vis-à-vis des PDG et que les contrats de rémunération octroyés aient les effets souhaités ?
