Desarrollo de las Tomas de Control Corporativo después de la Ley de Opas

Abstract

Este artículo analiza cualitativa y cuantitativamente el desarrollo de las tomas de control corporativo con posterioridad a la promulgación de la Ley de OPAS y Gobiernos Corporativos, promulgada en el año 2000, siendo uno de sus objetivos el establecer los efectos que dicha ley tuvo sobre el proceso de tomas de control en Chile. Como base de análisis se incluye el análisis de la discusión y divergencias en torno a la regulación en forma previa a su promulgación. Asimismo se discuten ciertos aspectos de la regulación internacional en materia de tomas de control que permiten recoger elementos de utilidad para el caso chileno.
