Abstract

l’objectif de cet article est de présenter une mise en perspective critique du vaste corpus théorique regroupé sous l’étiquette de théorie des parties prenantes (stakeholder theory) qui s’est développé depuis l’ouvrage de Freeman (1984). Cette approche propose une analyse des relations nouées entre l’entreprise et son environnement entendu au sens large. Nous présentons les origines et principaux fondements conceptuels de cette théorie. Puis, nous montrons que la grande diversité des approches qui en relèvent invite à évoquer des théories des parties prenantes. Une analyse critique des problèmes conceptuels de ces théories est ensuite menée, en se focalisant sur le thème de leur intégration, de leur absence de caractère dynamique et de leur difficile conciliation avec un modèle de gouvernance actionnarial.
