Abstract

Le gouvernement d'entreprises (désormais GE) allemand a connu ces dernières années une évolution importante. S'inclinant devant les directives européennes, le Parlement a adopté des nouvelles lois visant, principalement, à améliorer le fonctionnement du marché des capitaux et à réduire l'influence des banques. Notre article consiste à étudier le rôle important des banques dans le GE allemand afin de comprendre la nécessité du changement. Nous examinons l'exemple de la plus grande d'entre elles, la Deutsche Bank, et nous illustrons son influence à travers l'étude de trois rares cas d'OPA hostiles. Dans chacune des cibles, la Deutsche Bank occupe le poste de Président du conseil de surveillance et joue le rôle de la banque-maison. Cependant, sa position vis-à-vis de chaque offre a été radicalement différente et n'est pas, d'après nos résultats, mathématiquement liée aux caractéristiques financières des cibles. The German corporate governance knew these last years an important evolution. Tilting before the European instructions, the Parliament adopted new laws aiming, mainly, to improve the performance of the stock market and to reduce the influence of banks. Our paper consists in studying the important role of banks in the German corporate governance in order to understand the necessity of the change. We examine the example of the biggest among them, Deutsche Bank, and we illustrate its influence through the survey of three rare cases of hostile takeover. In each of targets, Deutsche Bank is the President of the supervisory board and play the role of the house bank. However, its position vis-a-vis every offer was radically different and was not, according to our results, mathematically bound to the financial features of targets.
