Abstract

[fre] À l’origine des réflexions sur le thème du gouvernement d’entreprise se trouvent des questions suscitées par l’évolution des marchés financiers, le développement des opérations de fusions-acquisitions et le rôle joué par les fonds de pension. La vague d’OPA hostiles des années 1980 a provoqué d’intenses débats dans le monde anglo-saxon à propos du corporate governance. Ce texte expose ce qu’il en est en France depuis le rapport Viénot de 1995. . Classification JEL : G23, G34, K29, L20 [eng] Corporate Governance in France Since Viénot I . The evolution of financial markets, the development of mergers, acquisitions and pension funds raised debates about corporate governance in the USA and Great Britain.
